ADARx Terms of Use Agreement
This website (“Site”) contains information about ADARx Pharmaceuticals, Inc. and its subsidiaries (collectively, “ADARx,” “we“, “us” or “our“). Your using or accessing the Site is subject to, and you agree to be bound by and comply with, the following terms and conditions, as updated from time to time (collectively, the “Terms”), our Privacy Policy (which explains how we collect, use and store your personal data), and all applicable laws. You agree the Terms and Privacy Policy supersede any other agreement between you and ADARx regarding the Site, your access to and use of it, and how we collect, use and store your personal data. If you do not agree with the Terms or Privacy Policy, please exit and do not use the Site or send us your information. We may amend or make changes to the Terms, and/or Privacy Policy, from time to time as we see fit and your continued access to or use of the Site constitutes acceptance of the updated Terms and Privacy Policy that apply at that time. We may at any time make updates or changes to the Site and suspend, withdraw or restrict the availability of all or any part of the Site, with or without notice to you. We may transfer our rights and obligations under the Terms to another organization.
Intellectual Property Rights
ADARx is the owner and/or licensee of the Site and its underlying computer code, and all content and information contained on the Site (“Content”), and we retain all intellectual property rights in and to the Content. All Content is protected from unauthorized copying and dissemination by United States and foreign copyright law, trademark law, international conventions, and other applicable intellectual property laws.
All trademarks, service marks and logos on the Site relating to ADARx are either registered or unregistered trademarks or tradenames of ADARx and/or our affiliates (collectively, the “ADARx Trademarks”). Any third-party company and product names, trademarks and service marks are the property of their respective owners (collectively, “Third-Party Trademarks”).
Nothing in the Terms should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of the ADARx Trademarks or Third-Party Trademarks without the prior written permission of ADARx or the applicable third party(ies). All goodwill generated from the use of ADARx Trademarks will inure to the exclusive benefit of ADARx and/or its affiliates, as applicable.

all content made available on or through the site is provided “AS-IS” without warranties, representations or guarantees of any kind, whether express or implied, including any warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.
The Site is designed to provide general information about the subject matters presented and no Content is intended to amount to advice on which you should rely. Any reference to third parties or third-party products or services should not be construed as, and is not intended as, an approval or endorsement by ADARx of such third party or third-party product or service. The Site is made available free of charge. ADARx makes no representations, warranties or guarantees, whether express or implied, that the Site or any Content on it will be always available or uninterrupted, or free from defects, malware or viruses.
Limitation of Liabilities
NEITHER ADARX NOR ANY OF ITS AGENTS OR AFFILIATES SHALL BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, OR ANY ERRORS OR OMISSIONS IN THE CONTENT. ADARX EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY RELATED TO, ARISING FROM, OR CONNECTED WITH THIRD-PARTY LINKED WEBSITES OR ANY INFORMATION, PRODUCTS OR SERVICES AVAILABLE FROM SUCH THIRD-PARTY WEBSITES.
THESE EXCLUSIONS AND LIMITATIONS APPLY WHETHER ANY LIABILITY OF ADARX OR ITS AGENTS OR AFFILIATES IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LIABILITY. NOTWITHSTANDING, IN THE EVENT APPLICABLE LAW DOES NOT ALLOW ANY SUCH EXCLUSION OR LIMITATION, INCLUDING AS APPLIED TO LIABILITY FOR DEATH OR PERSONAL INJURY, THE LIABILITY OF ADARX AND/OR ITS AGENTS AND AFFILIATES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY SUCH APPLICABLE LAW.
ADARX DISCLAIMS ANY LIABILITY FOR YOUR INABILITY FOR ANY REASON TO ACCESS OR USE THE SITE AND FOR YOUR VIOLATION OF THE TERMS RESULTING IN HARM TO OTHERS. IN THE EVENT YOUR VIOLATION OF THE TERMS CAUSES HARM TO OTHERS, YOU AGREE TO INDEMNIFY AND HOLD HARMLESS ADARX AND ITS AGENTS AND AFFILIATES FROM AND AGAINST ANY AND ALL LOSS, DAMAGE, AND EXPENSES ARISING FROM SUCH THIRD-PARTY HARM.
Permitted Use of the Site and Content
You may access and use the Site, and download, view, replay, copy and print Content, subject to the following:
1. Content may be used only for your personal, non-commercial, informational purposes;
2. Content may not be modified or altered in any way;
3. No graphics may be used separate from accompanying text; and
4. All copyright, trademark and other proprietary rights notices or identifying information, including the copyright notice at the bottom of each page, must appear on all copies.
Requests for permission to use Content other than as described above should be made to legalnotices@adarx.com. Any rights not expressly granted herein are reserved.
Except as and to the extent permitted by applicable law, it is a violation of the Terms to conduct, facilitate, authorise or permit any text or data mining or web scraping of the Site or any Content, or to use any automated analytical technique aimed at analysing Content text or data in digital form, for any purpose including the development, training, fine-tuning or validation of AI systems or models.
The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
You may link to the home page of the Site, provided you do so in a way that is legal and does not damage our reputation or take advantage of it. The Site must not be framed on any other site and you may not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists or establish a link to ADARx or the Site in any website that is not owned by you. We reserve the right to withdraw linking permission without notice. If you wish to link to, or make any use of Content on, the Site other than that set out above, please contact legalnotices@adarx.com.
Any use of the Site or Content other than as expressly permitted by the Terms, or that is in violation of local, state, federal or international law, is a violation of the Terms. If we believe your use of the Site or any Content is in violation of applicable law, we will report such violation and cooperate with relevant law enforcement.
The Site is not intended for children under the age of eighteen (18). We will not knowingly collect information from Site visitors under the age of eighteen (18).

ADARx does not offer medical diagnosis or treatment on or through the site, and no content on the site should be construed as providing any medical advice or services. Governing Law and Enforcement of Terms
You agree that the Terms and all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and the State of California, without regard to conflict of law principles. You agree to the personal jurisdiction by and venue in the state and federal courts in San Diego, California, and you waive any objection to such jurisdiction or venue. Any claim under the Terms or otherwise related to the Site must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.
If any part of the Terms is unlawful, void, or unenforceable, such part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
